Description:

The City of Williamsburg, James City and York Counties have jointly chartered the Historic Triangle Recreational Authority pursuant to the Public Recreational Facilities Authorities Act, (Virginia Code § 15.2-5600, et. seq.) for the purpose of constructing and operating a large-scale recreational facility capable of attracting and hosting a broad array of athletic events and competitions, sufficient in scope to draw participants and spectators from a large geographic area.  It is anticipated that the facility would be located in the City of Williamsburg on a portion of land currently owned by the Colonial Williamsburg Foundation on which the Colonial Williamsburg Visitor Center is currently located.  The Authority will be responsible to acquire the necessary real property by purchase and/or long-term lease, and will further be responsible for the development of the real property for the aforesaid purposes, and for the operation of the facilities constructed on the property (cumulatively referred to as the “Project”.).  Development of the Project will include design and construction of all necessary improvements including obtaining of necessary funding, and ultimately operating the Project including employment of all staff necessary for its operation.   It is anticipated that construction of improvements will be accomplished as a public-private partnership in accordance with the Public-Private Education Facilities and Infrastructure Act of 2002 (Virginia Code Title 57, Chapter 22.1.)

In order to proceed further in accomplishing its objectives, it is necessary for the Authority to employ legal counsel to represent it in the accomplishment of the above-stated purposes and while not required by Virginia law to seek proposals for employment of attorneys, in light of the extent and complexity of the purposes to be accomplished by the Authority it is deemed desirable to seek proposals from interested attorneys at law in order to obtain expressions of interest and to identify a proposer whose breadth of experience and capabilities appear to best fit the Authority’s legal needs.   While the proposer’s fee basis will ultimately come into consideration, the proposer’s capabilities, knowledge, breadth of experience, accessibility and reputation will be paramount.

The City of Williamsburg as fiscal agent for the Historic Triangle Recreational Facilities Authority (the “Authority”), seeks proposals from duly licensed attorneys at law practicing in the Commonwealth of Virginia who wish to be considered for employment ongoing legal counsel for the Authority. Legal services will be broad in scope and include providing all legal representation to the Authority as necessary to its operations and achievement of its stated purposes. Representation would entail provision of a broad range of legal services including, but not limited to:

• Attendance at monthly and other called meetings of the Authority’s board of directors, and working closely with the Authority’s Chairperson and other staff as needed in preparation for meetings;
• Providing ongoing legal advice to the Authority’s board of directors, officers, executive director and employees as pertinent to the Authority’s undertakings;
• Preparation and review of various contracts and other legal documents;
• Assisting in negotiations with various entities such as local. state and federal governmental entities, various educational institutions, nonprofit organizations and private businesses.
• Providing legal assistance in all phases of property acquisition, leasing, construction and development.
